1) Acceptance of Terms

These Terms govern your access to and use of verixion.com (the “Site”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site. We may update these Terms from time to time; the “Last updated” date above reflects the latest version, and your continued use after changes constitutes acceptance.

Relationship to Contracts. Separate written agreements (e.g., MSA/SOW) govern any paid engagements and prevail over these Terms in case of conflict.

2) Privacy

Our Privacy Policy forms part of these Terms and explains how we process personal data in connection with the Site.

3) Eligibility & Acceptable Use

The Site is intended for business and professional use. You may browse the Site and contact us via form or email. You must not:
(a) misuse the Site or violate any law;
(b) attempt unauthorized access to systems or data;
(c) probe, scan, or test the vulnerability of the Site or related networks;
(d) scrape, harvest, or mine data from the Site;
(e) interfere with or disrupt the operation or security of the Site;
(f) use the Site to transmit malware, spam, or illegal content.

4) Intellectual Property & Limited License

All content, trademarks, and logos on the Site are owned by or licensed to Verixion LLC and are protected by law. We grant you a limited, non-exclusive, non-transferable license to access and view the Site for lawful, informational purposes. No other rights are granted. You may not copy, reproduce, modify, distribute, publicly display, or create derivative works without our prior written consent. Third-party marks appear for reference only.

Feedback & Submissions

If you submit ideas, comments, or materials (“Feedback”), you grant Verixion LLC a worldwide, perpetual, royalty-free, transferable, and sublicensable license to use, reproduce, and display such Feedback for operating, improving, and promoting the Site and our services. Do not send confidential or sensitive information via the Site.

The Site may link to third-party websites or services. We do not control or endorse them and are not responsible for their content, policies, or practices. You access third-party resources at your own risk.

6) No Professional Advice

Content on the Site is provided for general information only and does not constitute legal, financial, accounting, or other professional advice.

7) Disclaimers

THE SITE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

8) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERIXION LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE.
SUBJECT TO THE FOREGOING, OUR AGGREGATE LIABILITY FOR DIRECT DAMAGES ARISING OUT OF OR RELATING TO THE SITE WILL NOT EXCEED THE GREATER OF (A) USD 100 OR (B) THE AMOUNTS YOU PAID TO US (IF ANY) FOR SITE ACCESS IN THE TWELVE (12) MONTHS PRECEDING THE EVENT. NOTHING IN THESE TERMS SEEKS TO LIMIT LIABILITY THAT CANNOT LAWFULLY BE LIMITED.

9) Indemnification

You will indemnify and hold harmless Verixion LLC and its affiliates, officers, employees, and agents from any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising from your violation of these Terms or misuse of the Site.

10) DMCA Notice (U.S.)

We respect intellectual property rights. If you believe content on the Site infringes your copyright, please send a notice under the Digital Millennium Copyright Act (17 U.S.C. §512) to our designated agent (contact details are provided on the Contact page). We will respond consistent with the DMCA, which may include removing or disabling access to the material.

11) Export & Sanctions Compliance

You agree to comply with all applicable U.S. export control and economic sanctions laws, including those administered by the U.S. Department of the Treasury’s OFAC and the U.S. Department of Commerce (EAR). You will not use the Site in violation of such laws or for the benefit of any prohibited end user or destination.

12) Governing Law; Venue and Jurisdiction

These Terms are governed by the laws of the State of New Mexico, without regard to conflict-of-law rules. The state courts located in Santa Fe County, New Mexico, and the U.S. District Court for the District of New Mexico have exclusive jurisdiction and venue, and you consent to personal jurisdiction there. Each party waives any objection based on forum non conveniens.

Injunctive Relief. Nothing in these Terms limits either party’s ability to seek injunctive or other equitable relief for misuse of intellectual property or breach of confidentiality.
Small Claims. Either party may bring an individual action in small-claims court for qualifying disputes.

13) Changes; Suspension and Termination

We may modify, suspend, or discontinue all or part of the Site at any time. We may suspend or terminate your access if you violate these Terms.

14) Miscellaneous

These Terms are the entire agreement regarding Site use and supersede prior or contemporaneous understandings relating to the Site. They do not create third-party beneficiary rights. You may not assign these Terms or any rights or obligations hereunder without our prior written consent; we may assign freely. If any provision is held invalid or unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any provision is not a waiver.
